Organization Bylaws

Review draft: 17 October 2026

Draft for organizational review - not adopted.

This proposed framework does not replace registered bylaws or create enforceable membership rights. Reconcile it with the correct entity's articles, existing SEC records and legal requirements before approval. LTOP Inc. and LTOP Foundation must have separate governing documents where they are separate legal entities.

Article I. Identity and purpose

The organization shall use the legal name and principal office stated in its articles of incorporation. Its activities shall remain within its registered purposes. Proposed objectives include representation of transport workers, driver and operator education, cooperative coordination, community service and lawful member assistance. No clause authorizes an activity requiring a licence or approval that has not been obtained.

Article II. Membership

Eligibility, membership classes, application documents and approving authority shall be specified in an approved membership policy consistent with the articles. Applicants shall receive the requirements, dues, benefits and applicable restrictions before applying. Admission shall be recorded in the membership register and confirmed by the authorized officer. A website account, inquiry or payment alone shall not establish membership.

Members shall maintain accurate contact details, comply with law and duly adopted rules, meet approved obligations, respect fellow members and protect confidential information. Rights to notice, participation, voting and inspection shall follow law, the articles and adopted bylaws. Membership classes shall not be invented through an informal announcement.

Article III. Dues and member services

Dues and fees shall require approval by the body empowered under the governing documents, with advance notice of amount, purpose, collection method, effective date and any available relief. Authorized collections shall be receipted and recorded. Refund, withdrawal and arrears rules shall be written and disclosed before collection. Membership funds and insurance premiums shall be separately identified and accounted for. No insurance protection shall be represented as effective without the insurer's applicable issuance and confirmation.

Article IV. Member meetings and voting

A regular general meeting shall be held at the time fixed in the adopted bylaws. Special meetings may be called by the authorized body or on a valid member request under applicable law. Notices shall state the date, time, location or lawful remote arrangements, agenda and voting eligibility. Material proposals shall be available for review before a vote.

The secretary shall verify the membership list, quorum and voting authority, record attendance and preserve minutes and resolutions. Proxy, remote attendance and electronic voting shall be permitted only as legally allowed and under documented procedures. No decision shall be recorded as approved without the required quorum and vote.

For adoption: specify the annual meeting schedule, notice periods, quorum, voting thresholds, proxy rules and special-meeting petition procedure after confirming the entity's legal form and filed documents.

Article V. Governing board

The board of directors or trustees, as appropriate to the registered entity, shall exercise its lawful governance responsibilities. It shall approve plans, budgets and policies, oversee finances and risk, supervise officers and maintain accountability to members. It shall not delegate duties that law reserves to the board or members.

Board composition, eligibility, terms, elections, removal, vacancies, meeting frequency and quorum must conform to the articles and law. Decisions shall be recorded in minutes. A board member with a conflict of interest shall disclose it and abstain or recuse where required. Related-party transactions shall receive the review and approval required by law.

For adoption: confirm the number of seats, qualifications, term limits, election method, vacancy process and the authority of any regional representatives.

Article VI. Officers and delegated authority

Officers shall be elected or appointed in the manner required by law and the governing documents. The president shall oversee authorized activities; the secretary shall maintain notices, minutes and corporate records; the treasurer shall oversee receipts, disbursements, books and financial reporting. Other roles and delegated signing powers shall be set out in written resolutions. No officer may bind the organization beyond their authority.

Outgoing officers shall return records, funds, property and access rights promptly through a documented turnover. Incompatible offices, qualifications, compensation and succession shall be reviewed before adoption.

Article VII. Elections

Elections shall use a verified voter roll, announced qualifications, a nomination period and a fair counting process. An impartial election committee shall manage ballots, record results and address objections under an approved procedure. Candidates and observers shall be treated consistently. Complaints shall be reviewed before results are certified where a material issue could affect the outcome.

For adoption: specify the election calendar, nomination rules, ballot method, objection deadlines, ties and recount process.

Article VIII. Financial stewardship

Funds shall be used for approved organizational purposes. An annual budget and spending authority shall be approved by the authorized body. Collections shall be deposited to an account held by the correct legal entity; personal accounts shall not substitute for organizational accounts. Disbursements shall have supporting documents and appropriate approvals. No person shall approve their own reimbursement without independent review.

Accurate accounts, asset records and required reports shall be maintained. Financial statements and independent review or audit shall be arranged as required by law and approved policy. Member access to financial records shall respect lawful inspection rights and the privacy of individuals. Donations and restricted funds shall be applied to their stated lawful purposes.

Article IX. Chapters and committees

Chapters and committees may be established by a written charter defining scope, reporting, budget, duration and responsible officers. They shall not collect funds, enter contracts, appoint representatives or use the organization's name beyond written authority. Chapters shall submit activity and financial reports and return organizational records on dissolution. Separate cooperatives or affiliates do not become the same legal entity through association alone.

Article X. Conduct and fair process

Members and officers shall avoid fraud, discrimination, harassment, threats, misuse of funds, conflicts of interest and unauthorized disclosure of records. Good-faith complaints shall be received through a documented channel without retaliation. Before suspension, removal or other material sanction, the affected person shall receive notice of the allegations, a reasonable opportunity to respond and a decision by an impartial authorized body, subject to applicable law and any permitted appeal.

Discipline shall be proportionate, documented and consistent with adopted rules. A person involved in the complaint shall not decide their own case. Resignation, termination, reinstatement and appeals require defined procedures; statutory rights remain protected.

Article XI. Records and privacy

The secretary and authorized custodians shall preserve the membership register, articles, bylaws, minutes, resolutions and required filings. Personal information shall be collected only for identified lawful purposes, accessed by authorized persons and retained under an approved schedule. Inspection requests shall be handled under law while protecting confidential and third-party information. Publication of photographs and communications shall respect privacy and intellectual property rights.

Article XII. Amendments and dissolution

Amendments shall be circulated, considered and approved by the bodies and voting thresholds required by law and the governing documents. Required certifications and filings shall be completed before any amendment takes effect where legally required. Dissolution, settlement of liabilities and disposition of remaining assets shall follow the law and the articles; this draft does not authorize a distribution.

Adoption checklist

Before adoption, obtain the certified articles and current bylaws; verify the legal entity and corporate form; resolve every item marked for adoption; complete a legal and financial review; give proper notice; record the necessary board and member approvals; and complete required filings. The final version must state its approval dates, resolutions, authorized signatures and effectivity. None of those approvals is represented as completed here.
